Terms of Service

The terms that govern your use of the Goodspeed platform.

These Terms of Service ("Terms") are a binding contract between you ("you" or "Customer") and Goodspeed Apps LLC ("Goodspeed", "we", "us", or "our") governing your access to and use of the Goodspeed platform, including goodspeed.app, admin.goodspeed.app, subdomains we provision for your generated applications ({your-app}.goodspeed.app), and any APIs, mobile apps, integrations, content, and related services we offer (collectively, the "Service").

By creating an account, clicking "I agree," or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes both you individually and the organization.


1. Eligibility

The Service is intended for users who are at least 18 years of age and have the legal capacity to enter into a binding contract. You may not use the Service if you are barred from receiving services under the laws of the United States or any applicable jurisdiction. You may not use the Service if you are on a US-government sanctions list or are located in an embargoed country.

You agree to provide accurate, current, and complete information when creating an account and to keep it accurate, current, and complete thereafter.


2. Your Account

You are responsible for safeguarding the credentials you use to access the Service. You agree to notify us immediately at security@goodspeed.app if you suspect any unauthorized use of your account. You are responsible for all activity that occurs under your account, whether or not authorized by you, unless and until you give us notice.

We may suspend, restrict, or terminate your account if we believe in good faith that you have violated these Terms, the Acceptable Use Policy, or applicable law; that your account has been compromised; or that your continued use poses a risk to us, other users, or third parties. Where reasonably practicable, we will give you notice and an opportunity to remediate, except where we believe immediate action is necessary.


3. The Service

3.1 What the Service Does

Goodspeed is an autonomous app studio. You provide a description of an application you want, optionally provide additional context or requirements, and the Service uses third-party large language models and our own software to generate application code, designs, infrastructure configuration, and supporting assets. We may host your generated application on infrastructure we operate, including at a subdomain we provision ({your-app}.goodspeed.app). We may make the application available for download or for deployment to third-party stores (Apple App Store, Google Play, etc.) at your direction.

3.2 Service Levels and Changes

We make commercially reasonable efforts to keep the Service available. We do not guarantee any specific uptime, latency, or availability unless we have separately agreed in writing (for example, in an enterprise order form). We may change, add, or remove features at any time. We will use commercially reasonable efforts to give material-change notice in advance.

3.3 Beta Features

From time to time, we may make experimental or "beta" features available. Beta features are provided as-is, may be unstable, may be discontinued at any time, and are not covered by any service commitments or warranties even if such commitments otherwise apply.


4. Plans, Fees, and Payment

4.1 Subscriptions

Some features of the Service are available only under a paid plan. You authorize us, through our payment processor (Stripe), to charge your designated payment method on the schedule corresponding to your plan. Your subscription will automatically renew for successive periods of the same duration unless you cancel before the renewal date.

4.2 Credits and Usage-Based Billing

In addition to a base subscription, some features consume usage credits (e.g., LLM generations, deploys). Credits are non-transferable, non-refundable except as described below, and expire as described on the pricing page or at signup.

4.3 Price Changes

We may change prices on a prospective basis with at least 30 days' notice. Price changes take effect on the next renewal of your subscription. Continued use after the effective date constitutes acceptance of the new price.

4.4 Refunds

Except where required by law, fees are non-refundable. If you believe you have been billed in error, contact support@goodspeed.app within 30 days and we will review.

4.5 Taxes

Fees are exclusive of taxes. You are responsible for all taxes, levies, and duties imposed by tax authorities other than taxes based on Goodspeed's net income.

4.6 Free Plans

If we offer a free plan, we may modify, limit, or discontinue it at any time without notice. Nothing in these Terms requires us to maintain a free plan or to provide credits at no cost.


5. Ownership of Content

5.1 Customer Content

"Customer Content" means any content you submit to the Service (prompts, descriptions, attachments, screenshots, feedback) and any content the Service generates for you in response (application code, designs, configuration, assets). As between you and Goodspeed, you own your Customer Content, subject to (a) the rights of the underlying AI providers in their models, (b) third-party rights in any open-source components incorporated, and (c) the license you grant us below.

5.2 License to Goodspeed

You grant Goodspeed a worldwide, non-exclusive, royalty-free license to host, store, transmit, copy, modify, and display Customer Content solely to provide, secure, and improve the Service for you. The license terminates when you delete the content or close your account, except to the extent we are required to retain it (Section 11) or to the extent we have already incorporated anonymized or aggregated derivatives that are not personally identifiable.

We do not use your Customer Content to train Goodspeed's or any third party's models except where you have explicitly consented.

5.3 Output Disclaimers

Generated outputs may be inaccurate, incomplete, infringing, or unsuitable for your purpose. You are responsible for reviewing outputs before relying on them, shipping them to your users, or publishing them. Goodspeed does not warrant that outputs are original, non-infringing, or fit for any particular purpose.

5.4 Goodspeed IP

The Service, including all software, models, methods, designs, documentation, and trademarks, is owned by Goodspeed and its licensors and is protected by intellectual-property laws. Except for the limited rights granted in these Terms, you obtain no rights in the Service.

5.5 Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant Goodspeed a perpetual, worldwide, royalty-free license to use the Feedback for any purpose without obligation to you.


6. Acceptable Use

Your use of the Service is governed by the Acceptable Use Policy, which is incorporated by reference into these Terms. Among other things, you may not use the Service to build or distribute applications that are illegal, infringing, abusive, or harmful, and you may not attempt to circumvent the Service's security or rate limits. Violation of the Acceptable Use Policy is a material breach of these Terms.


7. Third-Party Services and AI Providers

The Service depends on third-party services, including (but not limited to) Anthropic (Claude), OpenAI (GPT), Voyage AI, Stripe, Supabase, Vercel, Cloudflare, and Resend. A current list is maintained at /subprocessors.

Your use of the Service requires us to share Customer Content with these providers as necessary to operate the Service. We have contractual commitments with these providers that we believe are appropriate to protect Customer Content, including (where applicable) commitments not to train models on Customer Content.

We are not responsible for the acts or omissions of third-party services, including outages, errors, data loss, or breaches that occur at the third-party provider, except as required by law.

If you integrate your Goodspeed account with a third-party service (for example, by connecting a GitHub account), your use of that third-party service is governed by that service's own terms and privacy policy.


8. Privacy

Our Privacy Policy describes how we collect, use, and disclose information. By using the Service, you acknowledge that you have read and understood the Privacy Policy.


9. Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other in connection with the Service that is identified as confidential or that a reasonable recipient would understand to be confidential. Customer Content is your Confidential Information. The Service itself (including pricing, internal documentation, and non-public features) is our Confidential Information.

Each party will protect the other's Confidential Information with at least the same degree of care it uses for its own confidential information, and will not use or disclose it except as necessary to perform under these Terms or as required by law. The obligation survives for three years after termination, except that Customer Content remains subject to the confidentiality obligation for as long as we retain it.


10. Security

We implement administrative, technical, and physical safeguards described in our Privacy Policy. You are responsible for using the Service securely, including using strong unique passwords, enabling multi-factor authentication where available, and promptly reporting suspected breaches to security@goodspeed.app.


11. Term and Termination

These Terms remain in effect until terminated.

You may stop using the Service and delete your account at any time via the account-settings page. Termination by you takes effect immediately; pre-paid fees are not refundable except as described in Section 4.4 or as required by law.

We may terminate or suspend your access immediately, with or without notice, if (a) you breach these Terms or the Acceptable Use Policy in a material way, (b) we are required to do so by law, (c) your continued use poses a risk to us, our other users, or third parties, or (d) your account remains inactive for more than 18 months and we provide reasonable notice.

Upon termination: (i) your right to use the Service ends; (ii) we will delete or de-identify your Customer Content on the schedules described in the Privacy Policy, except where we are required to retain it; (iii) the obligations that by their nature should survive (Sections 5, 9, 12, 13, 14, 15, and 16) survive.


12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT WARRANTY OF ANY KIND. GOODSPEED, ITS AFFILIATES, AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WITHOUT LIMITING THE FOREGOING, GOODSPEED DOES NOT WARRANT THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, ORIGINAL, NON-INFRINGING, OR FIT FOR ANY PURPOSE. YOU ARE RESPONSIBLE FOR REVIEWING OUTPUTS BEFORE RELYING ON, SHIPPING, OR PUBLISHING THEM.

Some jurisdictions do not allow the exclusion of certain warranties; the exclusions above apply only to the extent permitted by law.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(a) NO INDIRECT DAMAGES. Neither party (nor any of their affiliates, officers, directors, employees, agents, suppliers, or licensors) will be liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or substitute-service costs, arising out of or related to these Terms or the Service, even if advised of the possibility.

(b) DAMAGES CAP. Each party's aggregate cumulative liability arising out of or related to these Terms or the Service is capped at the greater of (i) the amount Customer actually paid Goodspeed for the Service in the 12 months immediately preceding the event giving rise to the claim, or (ii) US $100.

The limitations in this Section 13 do not apply to: (x) a party's indemnity obligations under Section 14; (y) a party's breach of confidentiality obligations under Section 9; (z) liability that cannot be limited under applicable law (including, in some jurisdictions, liability for gross negligence, willful misconduct, fraud, or personal injury).

Some jurisdictions do not allow the limitation or exclusion of certain damages; in those jurisdictions, the foregoing limitations apply to the maximum extent permitted by law.


14. Indemnification

14.1 By Customer

You agree to defend, indemnify, and hold harmless Goodspeed, its affiliates, and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of these Terms or the Acceptable Use Policy; (b) Customer Content (including any claim that Customer Content infringes a third-party right or violates law); (c) your applications, products, or services that are built using or deployed via the Service; (d) your violation of any law or regulation; or (e) your violation of any third-party right, including any intellectual-property or privacy right.

14.2 Process

We will (a) promptly notify you of any covered claim, (b) give you sole control of the defense and settlement (provided that any settlement requiring a non-monetary obligation of us, or admission of liability, requires our prior written consent), and (c) reasonably cooperate at your expense.


15. Dispute Resolution; Governing Law

15.1 Informal Resolution First

Before filing any claim, you agree to contact us at legal@goodspeed.app and attempt in good faith to resolve the dispute informally for at least 60 days.

15.2 Binding Arbitration

Read this section carefully: it affects your legal rights, including your right to a jury trial and to bring a class action.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved through informal resolution will be settled by binding individual arbitration administered by JAMS in Florida, United States, under JAMS' Streamlined Arbitration Rules in effect at the time the demand is filed. The arbitrator's decision will be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

15.3 Class-Action Waiver

You and Goodspeed each agree to bring claims only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative action. Unless both parties agree otherwise in writing, the arbitrator may not consolidate more than one party's claims and may not preside over any class or representative proceeding.

15.4 Exceptions

Either party may bring an action in court to seek injunctive or other equitable relief to prevent actual or threatened infringement, misappropriation, or violation of intellectual-property rights, confidentiality obligations, or the Acceptable Use Policy. Either party may also bring an individual claim in small-claims court if it qualifies.

15.5 Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15.6 Opt-Out

You may opt out of Sections 15.2 (arbitration) and 15.3 (class waiver) by emailing legal@goodspeed.app within 30 days of first accepting these Terms, including your name, account email, and a clear statement of intent to opt out. Opting out will not affect any other terms.


16. General

16.1 Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, and any order forms or addenda we have signed with you, are the entire agreement between you and Goodspeed regarding the Service. They supersede any prior or contemporaneous agreement or understanding.

16.2 Order of Precedence

In the event of a conflict, the order of precedence is: (a) any signed enterprise order form, (b) these Terms, (c) the Acceptable Use Policy, (d) the Privacy Policy, (e) any other documentation or policy referenced.

16.3 Modifications

We may modify these Terms from time to time. We will post the modified Terms with an updated "Last Updated" date. For material changes, we will provide additional notice at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree to the change, your sole remedy is to stop using the Service and close your account before the change takes effect.

16.4 Notices

We may give you notice by email to the address associated with your account or by posting in the Service. Notices to us must be sent to legal@goodspeed.app.

16.5 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of all or substantially all of our assets.

16.6 No Waiver; Severability

Failure to enforce any provision is not a waiver. If any provision is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

16.7 Force Majeure

Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, pandemic, civil unrest, government action, labor disputes, internet failures, or third-party-service outages, except for payment obligations.

16.8 Export and Sanctions

You may not access or use the Service if you are located in, or are a national of, any country or territory subject to comprehensive US trade sanctions, or if you are on any US-government restricted-party list. You agree to comply with all applicable export-control and sanctions laws.

16.9 US Government Users

The Service is "Commercial Computer Software" as defined in FAR 12.212 and DFARS 227.7202. Any use, modification, reproduction, release, performance, display, or disclosure by the US Government is governed solely by these Terms.

16.10 Independent Contractors

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
